Because of their many tax advantages, S corporations are everywhere. All tax practitioners who handle business returns must understand S corporation taxation. Yet these rules can be very complex. To meet this need, CALT is bringing our practitioners an in-depth review of S corporation taxation. The two-day course will be taught by Bob Jamison, CPA, PhD, a foremost expert and author in the field. Participants will receive a 350-page workbook and an opportunity to ask substantive questions.

  • Current developments, including enacted and proposed legislation, regulations, cases and rulings, up to day of presentation.
  • Eligible entities and owners for S corporation status: special problems of limited liability companies and trusts.
  • Conversion of entity: To and from C corporation, S corporation, limited liability company, partnership or disregarded entity. Includes selected state laws.
  • Timely elections and late election relief: when to apply for free, and when to pay the $20,000+ user fee.
  • Shareholder debt basis: New regulation, old restructuring technique and case law.
  • Distributions from S Corporations: Rules, uncertainties and planning.
  • Compensation of shareholder-employees: Traps and likely strategies.
  • Material participation and grouping of activities.
  • Net investment income problems of S corporation shareholders.
  • The built-in gains tax: Definitions and comprehensive example.
  • Purchase and sale of the S corporation: Asset deals, stock deals and consequences
  • Purchase and sale of the S corporation; elections under §§338, 336(e), QSub, and other disregarded entity structures.

Speakers: 

Robert W. Jamison, Jr., CPA, PhD, Professor Emeritus of Accounting, Indiana University, Kelley School of Business – Indianapolis, author of S Corporation Taxation, published by CCH Incorporated, is a nationally recognized expert on S corporation tax law. In addition to teaching tax law in accounting departments at three universities for 36 years, Dr. Jamison has been the lead author of the Business Entities chapter of the National Income Tax Workbook and its predecessor for more than 30 years. (The National Income Tax Workbook is the text used to teach the two-day Annual Income Tax Course in Iowa and 27 other states each year.) Dr. Jamison’s S Corporation Taxation, 2017 Edition, (1,864 pages) published by CCH Incorporated, Chicago, is the go-to book for practitioners who advise clients regarding taxation of S corporations, including formation, operation, termination, and compliance. In it they find practical answers to their common as well as unusual S corporation tax questions.
